  20. software accompanying this License, whether on disk, in read
  21. only memory, or on any other media (the "Software") the
  22. related documentation and fonts are licensed to you by

  24. the Software and fonts are recorded but [SPECTRUM MULTIMEDIA
  25. PRODUCTIONS] and/or [SPECTRUM MULTIMEDIA PRODUCTIONS]'s
  26. Licensors retain title to the Software, related
  27. documentation and fonts. This License allows you to use the
  28. Software and fonts on a single Apple computer and make one
  29. copy of the Software and fonts in machine-readable form for
  30. backup purposes only. You must reproduce on such copy the
  31. [SPECTRUM MULTIMEDIA PRODUCTIONS] copyright notice and any
  32. other proprietary legends that were on the original copy of
  33. the Software and fonts. You may also transfer all your
  34. license rights in the Software and fonts, the backup copy of
  35. the Software and fonts, the related documentation and a copy
  36. of this License to another party, provided the other party
  37. reads and agrees to accept the terms and conditions of this
  38. License.

  40. 2. Restrictions. The Software contains copyrighted material,
  41. Wade secrets and other proprietary material. In order to
  42. protect them, and except as permitted by applicable
  43. legislation, you may not decompile, reverse engineer,
  44. disassemble or otherwise reduce the Software to a human-
  45. perceivable form. You may not modify, network, rent, lease,
  46. loan, distribute or create derivative works based upon the
  47. Software in whole or in part. You may not electronically
  48. transmit the Software from one computer to another or over a

  51. 3. Termination.  This License is effective until terminated.
  52. You may terminate this License at any time by destroying the
  53. Software, related documentation and fonts and all copies
  54. thereof. This License will terminate immediately without
  55. notice from [SPECTRUM MULTIMEDIA PRODUCTIONS] if you fail to
  56. comply with any provision of this License. Upon termination
  57. you must destroy the Software, related documentation and
  58. fonts and all copies thereof.

  60. 4. Export Law Assurances. You agree and certify that neither
  61. the Software nor any other technical data received from
  62. [Licensee Name], nor the direct product thereof, will be
  63. exported outside the United States except as authorized and
  64. as permitted by the laws and regulations of the United
  65. States. If the Software has been rightfully obtained by you
  66. outside of the United States, you agree that you will not re-
  67. export the Software nor any other technical data received
  68. from [SPECTRUM MULTIMEDIA PRODUCTIONS], nor the direct
  69. product thereof,  except as permitted by the laws and
  70. regulations of the United States and the laws and
  71. regulations of the jurisdiction in which you obtained the
  72. Software.

  74. 5. Government End Users.  If you are acquiring the Software
  75. and fonts on behalf of any unit or agency of the United
  76. States Government, the following provisions apply. The
  77. Government agrees:
  78.      (i) if the Software and fonts are supplied to the
  79. Department of Defense (DoD), the Software and fonts are
  80. classified as "Commercial Computer Software" and the
  81. Government is acquiring only "restricted rights" in the
  82. Software, its documentation and fonts as that term is
  83. defined in Clause 252.227-7013(c)(1) of the DFARS; and
  84.      (ii) if the Software and fonts are supplied to any unit
  85. or agency of the United States Government other than DoD,
  86. the Government's rights in the Software, its documentation
  87. and fonts will be as defined in Clause 52.227-19(c)(2) of
  88. the FAR or, in the case of NASA, in Clause 18-52.227-86(d)
  89. of the NASA Supplement to the FAR.

  91. 6. Limited Warranty on Media. the Software nor any other
  92. technical data received from [SPECTRUM MULTIMEDIA
  93. PRODUCTIONS] warrants the diskettes and/or compact disc on
  94. which the Software and fonts are recorded to be free from
  95. defects in materials and workmanship after normal use for a
  96. period of ninety (90) days from the date of purchase as
  97. evidenced by a copy of the receipt. [SPECTRUM MULTIMEDIA
  98. PRODUCTIONS]'s entire liability and your exclusive remedy
  99. will be replacement of the diskettes and/or compact disc not
  100. meeting [SPECTRUM MULTIMEDIA PRODUCTIONS' limited warranty
  101. and which is returned to [Licensee Name] or an [SPECTRUM
  102. MULTIMEDIA PRODUCTIONS] authorized representative with a
  103. copy of the receipt.  [SPECTRUM MULTIMEDIA PRODUCTIONS] will
  104. have no responsibility to replace a disk/disc damaged by
  105. accident, abuse or misapplication.  ANY IMPLIED WARRANTIES
  106. ON THE DISKETTES AND/OR COMPACT DISC, INCLUDING THE IMPLIED
  107. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  108. PURPOSE, ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM
  109. THE DATE OF DELIVERY. THIS WARRANTY GIVES YOU SPECIFIC LEGAL
  110. RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY BY
  111. JURISDICTION.

  113. 7.  Disclaimer of Warranty on Apple Software. You expressly
  114. acknowledge and agree that use of the Software and fonts is
  115. at your sole risk. The Software, related documentation and
  116. fonts are provided "AS IS" and without warranty of any kind

  118. MULTIMEDIA PRODUCTIONS]'s Licensor(s) (for the purposes of
  119. provisions 7 and 8, [SPECTRUM MULTIMEDIA PRODUCTIONS] and
  120. [SPECTRUM MULTIMEDIA PRODUCTIONS]'s Licensor(s) shall be
  121. collectively referred to as "[SPECTRUM MULTIMEDIA
  122. PRODUCTIONS]") EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR
  123. IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
  124. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  125. PURPOSE.  [LICENSE NAME] DOES NOT WARRANT THAT THE FUNCTIONS
  126. CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR
  127. THAT THE OPERATION OF  THE  SOFTWARE WILL  BE UNINTERRUPTED

  140. AUTHORIZED REPRESENTATIVE) ASSUME THE ENTIRE COST OF ALL
  141. NECESSARY SERVICING, REPAIR OR CORRECTION. SOME
  142. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED
  143. WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

  145. 8. Limitation of Liability.  UNDER NO CIRCUMSTANCES
  146. INCLUDING NEGLIGENCE, SHALL [SPECTRUM MULTIMEDIA
  147. PRODUCTIONS] BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR
  148. CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OR INABILITY
  149. TO USE THE SOFTWARE OR RELATED DOCUMENTATION, EVEN IF
  150. [SPECTRUM MULTIMEDIA PRODUCTIONS] OR AN [SPECTRUM MULTIMEDIA
  151. PRODUCTIONS] AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF
  152. THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT
  153. ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR
  154. INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION
  155. OR EXCLUSION MAY NOT APPLY TO YOU. In no event shall

  157. for all damages, losses, and causes of action (whether in

  159. the amount paid by you for the Software and fonts.

  161. 9. Controlling Law and Severability. This License shall be
  162. governed by and construed in accordance with the laws of the
  163. United States and the State of California, as applied to
  164. agreements entered into and to be performed entirely within
  165. California between California residents. If for any reason a
  166. court of competent jurisdiction finds any provision of this
  167. License, or portion thereof, to be unenforceable, that
  168. provision of the License shall be enforced to the maximum
  169. extent permissible so as to effect the intent of the
  170. parties, and the remainder of this License shall continue in
  171. full force and effect.

  173. 10. Complete Agreement. This License constitutes the entire
  174. agreement between the parties with respect to the use of the
  175. Software, the related documentation and fonts, and
  176. supersedes all prior or contemporaneous understandings or
  177. agreements, written or oral, regarding such subject matter.
  178. No amendment to or modification of this License will be
  179. binding unless in writing and signed by a duly authorized
  180. representative of [SPECTRUM MULTIMEDIA PRODUCTIONS].
